  • Lead-generation campaigns
  • Other digital marketing, creative and technology-related Services

Specific Services provided to a client will be governed by the applicable proposal, quotation, statement of work, work order, engagement letter, service agreement or other written agreement (“Client Agreement”).

2. Website Use

You may use this Website for lawful purposes only.

You agree not to:

  • Use the Website for any unlawful purpose;
  • Attempt to gain unauthorised access to the Website or its systems;
  • Interfere with the Website’s operation or security;
  • Introduce viruses, malware or other harmful code;
  • Scrape, copy or systematically extract Website content without permission;
  • Impersonate Ellipsis Digital or another person;
  • Use the Website to transmit fraudulent, defamatory, offensive or unlawful material;

3. Enquiries and Communication

Submitting an enquiry through the Website does not automatically create a client-agency relationship.

An enquiry merely expresses an interest in discussing potential Services.

A formal engagement shall arise only after the relevant commercial terms, scope, fees, timelines and responsibilities have been agreed upon and documented where applicable.

4. Digital Marketing Services

Digital marketing results depend on numerous factors, many of which may be outside our reasonable control.

These may include:

  • Advertising platform algorithms;
  • Changes to Meta, Google, LinkedIn or other platforms;
  • Competition;
  • Market conditions;
  • Client pricing;
  • Product or service quality;
  • Website performance;
  • Landing-page experience;
  • Sales-team performance;
  • Lead follow-up;
  • Customer demand;
  • Seasonality;
  • Advertising policies;
  • Budget;
  • Target audience;
  • Tracking limitations;
  • Platform outages; and
  • Changes in technology or regulations.

Accordingly, unless expressly guaranteed in a written Client Agreement, Ellipsis Digital does not guarantee specific results, including any particular number of leads, sales, revenue, impressions, clicks, rankings, conversions, ROAS, ROI, CPL, CAC or other performance metric.

5. Advertising Platform Dependency

Where Services involve third-party advertising platforms such as Meta, Google, LinkedIn, YouTube or other platforms, campaigns are subject to those platforms’ policies, approval systems, algorithms, technical infrastructure and availability.

Ellipsis Digital cannot guarantee:

  • Approval of advertisements;
  • Continued account access;
  • Account stability;
  • Specific advertising costs;
  • Specific campaign performance;
  • Search rankings;
  • Platform reach;
  • Audience availability; or
  • Continued availability of any platform feature.

Third-party platforms may change their policies, algorithms, pricing, features or technical requirements without notice.

6. Client Responsibilities

Clients are responsible for providing accurate, complete and timely information required to perform the Services.

Clients may be required to provide:

  • Brand assets;
  • Product/service information;
  • Pricing information;
  • Website access;
  • Advertising account access;
  • Analytics access;
  • Social media access;
  • Business information;
  • Creative references;
  • Approvals;
  • Legal or regulatory information;
  • Customer or lead data, where applicable; and
  • Other information reasonably required for the Services.

Clients are responsible for ensuring that information and materials supplied to Ellipsis Digital are accurate and lawful.

7. Client Content and Claims

The client remains responsible for the legality, accuracy and substantiation of claims concerning its products, services, offers and business.

This includes claims relating to:

  • Prices;
  • Discounts;
  • Product performance;
  • Health or medical benefits;
  • Financial outcomes;
  • Guarantees;
  • Certifications;
  • Awards;
  • Testimonials;
  • Regulatory approvals;
  • Product specifications; and
  • Other representations made to consumers.

Where required, the client should provide appropriate supporting documents and approvals.

Ellipsis Digital may rely on information supplied by the client when developing marketing materials and campaigns.

8. Advertising Compliance

Marketing campaigns may be subject to applicable laws, regulations, industry standards and advertising platform policies.

The client is responsible for ensuring that its products, services, offers and business practices comply with applicable laws.

Ellipsis Digital may decline to create, publish or promote material that it reasonably believes may violate applicable law, advertising platform policies or ethical standards.

9. Fees and Payments

Fees for Services will be communicated through the applicable proposal, quotation, invoice, statement of work or Client Agreement.

Unless otherwise agreed in writing:

  • Fees must be paid according to the agreed payment schedule;
  • Applicable taxes and government charges may be charged in addition to stated fees;
  • Third-party platform charges, advertising spend, software charges, production expenses, media costs and other external costs may be payable separately;
  • Delayed payments may result in suspension of Services; and
  • Ellipsis Digital may withhold delivery or access to certain deliverables until outstanding amounts are paid.

Specific commercial terms agreed with a client will prevail over these general Terms to the extent of any inconsistency.

10. Advertising Spend

Advertising budgets paid to platforms such as Meta, Google, LinkedIn or other media platforms are separate from Ellipsis Digital’s professional/service fees unless explicitly stated otherwise.

Ellipsis Digital does not own or control third-party advertising platforms.

Unused or additional advertising budgets, credits, refunds or platform charges will be handled according to the relevant advertising platform’s policies and the applicable Client Agreement.

11. Intellectual Property

Unless otherwise agreed in writing, Ellipsis Digital retains ownership of its pre-existing intellectual property, methodologies, processes, templates, frameworks, know-how, internal tools, strategies and proprietary materials.

This may include:

  • Strategy frameworks;
  • Internal processes;
  • Templates;
  • Working files;
  • Internal reports;
  • Proprietary methodologies;
  • Code libraries;
  • Reusable components;
  • Agency tools; and
  • Other pre-existing intellectual property.

Client-specific deliverables and ownership/licensing rights will be governed by the applicable Client Agreement.

12. Client Materials

The client retains ownership of materials supplied by the client, subject to any third-party rights.

By providing materials to Ellipsis Digital, the client grants Ellipsis Digital the permissions reasonably necessary to use, reproduce, modify, publish and otherwise process those materials for the purpose of providing the agreed Services.

The client represents that it has the necessary rights, permissions and licences to provide such materials.

13. Third-Party Materials

Some projects may use third-party assets, software, fonts, stock images, music, plugins, APIs, platforms or other licensed materials.

Such materials may be subject to separate licence terms.

The client may be responsible for additional licensing fees or restrictions where applicable.

14. Website Development and Technical Services

Where Ellipsis Digital provides website design, UI/UX, development or technical Services:

  • The scope will be based on the agreed project requirements;
  • Additional features may result in additional fees;
  • Delays in receiving content, approvals or access may affect timelines;
  • Third-party hosting, plugins, APIs, domains, software and services may be subject to separate terms;
  • Website performance may depend on third-party infrastructure;
  • Security cannot be guaranteed absolutely; and
  • Ongoing maintenance and support will only be included where expressly agreed.

15. SEO Services

SEO results depend on search-engine algorithms, competition, website quality, content, technical implementation, industry conditions and numerous other factors.

Ellipsis Digital does not guarantee:

  • Specific search rankings;
  • First-page rankings;
  • Featured snippets;
  • Specific traffic volumes;
  • Specific leads or revenue; or
  • Permanent search positions.

Unless expressly agreed otherwise in writing, and any such commitment shall be subject to the terms of the applicable Client Agreement.

16. Creative and Content Approvals

Where creative, copy, designs, advertisements, websites or other materials require client approval, the client is responsible for reviewing and approving the material within a reasonable timeframe.

Once approved by the client, Ellipsis Digital may proceed with publication, production or implementation.

The client remains responsible for final approval of factual claims, pricing, offers, product information and other business-specific representations.

17. Revisions

The number of revisions included in a project will depend on the applicable scope of work or Client Agreement.

Requests outside the agreed scope may be treated as additional work and may attract additional fees.

Material changes to an approved concept, strategy, design, website or campaign may be treated as a new requirement.

18. Third-Party Services

Ellipsis Digital may use third-party services and platforms to provide or support Services.

These may include:

  • Meta;
  • Google;
  • LinkedIn;
  • YouTube;
  • Google Analytics;
  • Advertising platforms;
  • Hosting providers;
  • Cloud services;
  • CRM platforms;
  • Email platforms;
  • Design and development tools;
  • Analytics tools; and
  • Other technology providers.

Ellipsis Digital is not responsible for failures, interruptions, policy changes, outages or actions of third-party providers.

19. Confidentiality

Each party may receive confidential information belonging to the other party during the course of a business relationship.

Each party agrees to use reasonable care to protect confidential information and not disclose it to unauthorised third parties, except where disclosure is required by law or reasonably necessary to perform the agreed Services.

Confidentiality obligations may be further defined in a separate NDA or Client Agreement.

20. Data and Privacy

Personal information collected through the Website is handled in accordance with our Privacy Policy .

Where Ellipsis Digital processes personal information on behalf of a client, the parties may have additional responsibilities under applicable data-protection laws and contractual arrangements.

The client is responsible for ensuring that it has the necessary legal basis, notices, permissions or consents for personal information supplied to Ellipsis Digital where required.

21. Links to Third-Party Websites

The Website may contain links to external websites.

Such links are provided for convenience and do not necessarily constitute endorsement or approval.

Ellipsis Digital does not control and is not responsible for the content, availability, security or privacy practices of third-party websites.

22. Website Content

We make reasonable efforts to keep the information on our Website accurate and current.

However, we do not guarantee that Website content will always be:

  • Complete;
  • Accurate;
  • Current;
  • Error-free; or
  • Continuously available.

We may update, modify, suspend or discontinue any portion of the Website without prior notice.

23. Case Studies and Portfolio

Where permitted by the applicable client relationship and agreement, Ellipsis Digital may display selected projects, creative work, campaign results or client work in its portfolio, presentations, website, social media or other marketing materials.

Where confidentiality or client restrictions apply, Ellipsis Digital will respect the applicable agreement.

24. User-Generated Content

If the Website allows users to submit comments, testimonials, feedback or other content, you remain responsible for the content you submit.

You must not submit content that:

  • Is unlawful;
  • Is defamatory;
  • Is abusive or offensive;
  • Infringes third-party intellectual property rights;
  • Violates privacy rights;
  • Contains malicious code;
  • Misrepresents another person or organisation; or
  • Promotes unlawful activities.

Ellipsis Digital reserves the right to remove or decline to publish content that violates these Terms or applicable law.

25. Intellectual Property of the Website

Nothing in these Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law.

Where Services are governed by a separate Client Agreement, the liability provisions of that agreement shall apply.

29. Force Majeure

Ellipsis Digital shall not be responsible for delays or failure to perform obligations caused by circumstances beyond its reasonable control.

Such circumstances may include:

  • Natural disasters;
  • War;
  • Terrorism;
  • Government actions;
  • Internet or infrastructure failures;
  • Cybersecurity incidents;
  • Platform outages;
  • Strikes;
  • Pandemics or public emergencies;
  • Electricity or telecommunications failures;
  • Changes in law or regulation; or
  • Other events beyond reasonable control.

30. Suspension or Termination

Ellipsis Digital may suspend or terminate access to the Website where necessary to:

  • Prevent misuse;

  • Enforce these Terms.

Termination of a specific client engagement will be governed by the applicable Client Agreement.

Your continued use of the Website after such changes constitutes acceptance of the updated Terms.

32. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall continue to remain in effect to the extent permitted by law.

33. Entire Agreement

These Terms govern your general use of the Website.

Specific Services provided to clients may be subject to additional proposals, quotations, statements of work, contracts, NDAs or other written agreements.

Where there is a conflict between these Website Terms and a specific written Client Agreement, the specific Client Agreement shall prevail for that engagement.

34. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the applicable laws of India.

Subject to applicable law, disputes relating to the Website or these Terms shall be subject to the jurisdiction of the competent courts having jurisdiction over Pune, Maharashtra.
